Hotel Superhero Subscription Services

Superhero Tech Private Limited ("us", "our", "we", "Company"), incorporated and operating from HustleHub Tech Park, HSR Layout, Bengaluru, and backed by Treebo Hospitality Ventures Private Limited, is a company that has created and owns intellectual property rights in a proprietary revenue management and hotel management platform called "Hotel Superhero" (accessible at https://hotelsuperhero.com).
Hotel Superhero is a comprehensive, cloud-based Software-as-a-Service (SaaS) platform and Revenue Management service accessible online, which temporary accommodation service providers — including independent hotels, guesthouses, and budget properties — can use for the management of all aspects of their revenue operations.
Core Capabilities: AI-powered dynamic pricing (24/7), OTA listing and management, fully integrated Property Management System (PMS), channel manager, guest review tracking, Google/Facebook/Instagram setup, and WhatsApp marketing campaigns.
These Terms and Conditions constitute a legal agreement between you and us with respect to your access and/or use of our Services. By using our Services, you agree that you have read, understood, and agreed to be bound by these Terms.
For purposes of these Terms: "RMS Service" means the Hotel Superhero Revenue Management Service subscription. "PMS Service" means the standalone Property Management System subscription.
Subscription Fee Structure
RMS Service - Specific Commercial Terms:
We grant you a non-exclusive, non-assignable, non-sublicensable, limited and revocable right to access and use the Services solely for your internal business operations.
RMS Service
Quarterly Plan: 3 months minimum
Annual Plan: 12 months minimum
PMS Service
Standalone: 12 months minimum
For RMS Service, the Subscription Term commences when the Company confirms onboarding is complete and the AI pricing engine has been activated (within 15 business days of payment).
The Company solely and exclusively owns all rights, title, and interest in the Services, including intellectual property rights (IPR), technologies, tools, algorithms, and any other proprietary rights.
What "IPR" Includes:
Important: The Company’s AI pricing algorithms, revenue management methodologies, and OTA optimization strategies are confidential. Users may not reverse-engineer, replicate, or circumvent these methodologies.
The Company has the right to use your name and logo for external marketing and promotion.
By submitting content to us, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, and distribute such content in connection with the Services.
Prohibited Content
You may not upload content that is defamatory, obscene, threatening, infringing intellectual property rights, abusive, illegal, or contains malicious software.
Personal data shared with us will be processed in accordance with our Privacy Policy.
You agree to use Services only in accordance with these Terms and all applicable laws.
General Use Obligations:

Each party shall defend, indemnify, and hold the other party harmless against claims arising from breach of these Terms or applicable law.
Liability Cap
The Company’s aggregate liability will not exceed 25% of Subscription Fees paid in the 3 months preceding the claim. No liability for consequential, special, or punitive damages.
Services are provided "as-is" without guarantees of uninterrupted, timely, secure, or error-free operation. Reliance on Services is solely at your own risk.
RMS Service - Specific Disclaimers:
The Company may deny or cease your access if you: (i) access Services unlawfully, (ii) breach Terms provisions, or (iii) Company elects to discontinue service.

Governing Law & Jurisdiction
These Terms are governed by Indian law. Disputes resolved through arbitration under the Arbitration and Conciliation Act of 1996 with seat in Bangalore, India. Bangalore courts have exclusive jurisdiction.
Confidentiality
Each party must protect the other’s confidential information (including Company’s service details, IPR, methodologies, and AI pricing logic) and not disclose to third parties.
Assignment
You may not assign rights without Company’s written consent. Company may freely assign with notice to you.
Force Majeure
Neither party liable for failures due to Force Majeure Events (acts of God, pandemics, war, hacking, power failure, etc.) beyond reasonable control.
These Terms constitute the entire agreement and supersede all prior discussions. Both parties are independent contractors.
